Cartutils provides automated website optimization services, including but not limited to:

  • Cache Warming: Automated fetching and warming of website pages to improve load times
  • LLMs.txt Generation: Creation of AI-optimized content summaries for AI discoverability
  • Website Health Monitoring: Dashboard and reporting for website status and performance
  • Warming Reports: Detailed reports on cache warming activities and results
  • Team Collaboration: Multi-user access with role-based permissions

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete information. You agree to:

  • Provide truthful and accurate registration information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account

3.2 Account Responsibility

You must verify ownership of each website you add to Cartutils using one of our approved verification methods (meta tag, DNS TXT record, or file upload).

4.2 Ownership Representation

By adding a website to our Services, you represent and warrant that:

  • You own or have legal authority to manage the website
  • You have the right to allow our Services to access and interact with the website
  • The website does not contain illegal content or violate third-party rights

4.3 Re-verification

We may periodically re-verify website ownership. Failure to maintain verification may result in suspension of services for that website.

5. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Services for any illegal or unauthorized purpose
  • Add websites that contain malware, phishing content, or illegal material
  • Attempt to gain unauthorized access to our systems or other users’ accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or attempt to extract the source code of our Services
  • Use the Services to send spam or unsolicited communications
  • Resell, sublicense, or redistribute the Services without our written consent
  • Use automated tools to access the Services beyond normal API usage
  • Circumvent any access or usage limits imposed by your subscription plan

6. Subscription Plans and Pricing

6.1 Plans

We offer various subscription plans with different features and limitations. Current plans and pricing are available on our website.

6.2 Free Trial

We may offer a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Services. We reserve the right to modify or discontinue free trials at any time.

6.3 Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are quoted and payable in the currency specified at checkout
  • Fees are non-refundable except as expressly stated in these Terms

All fees are exclusive of applicable taxes (including GST in India). You are responsible for paying all applicable taxes.

7. Payment Terms

7.1 Payment Methods

We accept payment through credit cards, debit cards, and other payment methods as displayed during checkout. Payment processing is handled by secure third-party payment processors.

7.2 Authorization

By providing payment information, you authorize us to charge your payment method for all fees incurred.

7.3 Failed Payments

If a payment fails, we may suspend your access to the Services until payment is successfully processed. We may retry failed payments and you authorize such retry attempts.

7.4 Invoices

Invoices will be provided electronically to your registered email address.

8. Cancellation and Refunds

8.1 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will not be charged for subsequent billing periods
  • You will retain access to your account data until the end of the billing period

8.2 Refunds

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Refunds may be provided on a pro-rata basis within the first 30 days of purchase, at our discretion

8.3 Data After Cancellation

After cancellation, your data will be retained for 30 days, after which it may be permanently deleted. You may request data export before cancellation.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Aquevix Solutions Pvt Ltd and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our written consent.

9.2 Your Content

You retain ownership of all content you provide to us (website information, configurations, etc.). By using our Services, you grant us a limited license to use this content solely to provide the Services to you.

9.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without any obligation to you.

10. Data and Privacy

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose

12. Limitation of Liability

12.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AQUEVIX SOLUTIONS PVT LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use the Services
  • Any damages arising from unauthorized access to your account or data

12.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12.3 Exceptions

The limitations in this section do not apply to liability arising from gross negligence, willful misconduct, or fraud.

13. Indemnification

You agree to indemnify, defend, and hold harmless Aquevix Solutions Pvt Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  2. Mediation: If negotiation fails, the parties shall attempt mediation before a mutually agreed mediator.
  3. Arbitration: If mediation fails, the dispute shall be resolved through binding arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996.

14.3 Jurisdiction

For any matters not subject to arbitration, the courts of New Delhi, India shall have exclusive jurisdiction.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Sending an email to your registered email address
  • Displaying a notice when you log in to your account

Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or other force majeure events.
